Membership Approves Changes to the IAPRI By-Laws

The IAPRI Membership has approved the Board of Directors proposed changes to the By-Laws. With no negatives votes the revised IAPRI By-Laws became effective on June28, 2023.

Summary of Changes:
  • Increased the maximum number of directors from sixteen to eighteen.
  • Directors three years terms end after the conclusion of the annual member meeting of the third year and not at the conclusion of the fiscal year.
 These changes were necessitated for the following reasons. 
  • The actual practice for several years has been to end the terms of board members after the annual membership meeting and start the new terms for new directors.  We just missed correcting this matter with the last changes to the by-laws, so we are now correcting that situation.
  • The last modification to the by-laws was related to the total number of Corporate Member directors who sit on the board. This was required because we changed the definition of Full Member to include both institutional and corporate types. We also changed the verbiage relating to the maximum corporate directors from a percentage to a fixed number of four. Using a percentage could require a change in the number depending on how many total directors were currently on the board. The minimum number of directors was changed from 9 to 12 to accommodate the desired ratio of institutional and corporate directors on the board. We intended to increase the number to eighteen but accidently kept the maximum number at sixteen in that version of the by-laws.
